Merchant Terms of Use

1. Definitions

For purposes of these Terms of Use (“Terms”):

• “Platform” refers to the digital marketplace system operated by the Platform owner.

• “Merchant” refers to any individual or business entity registered to sell goods or services through the Platform.

• “Services” refers to all tools, features, and functionalities provided by the Platform.

2. Acceptance of Terms

2.1 By registering, accessing, or using the Platform as a Merchant, you expressly agree to be legally bound by these Terms.

2.2 If you do not agree with these Terms, you must immediately discontinue use of the Platform.

3. Merchant Eligibility and Legal Compliance

3.1 The Merchant represents and warrants that it is legally authorized to conduct business under the laws of Malaysia.

3.2 The Merchant must maintain valid business registration, licenses, permits, certifications, or regulatory approvals required for its operations.

3.3 The Platform reserves the right to request documentation verifying legal compliance at any time.

3.4 Failure to provide valid documentation may result in suspension, restriction, or termination of Merchant access without liability.

3.5 The Merchant bears sole responsibility for compliance with all applicable laws, including consumer protection, taxation, product safety, and trade regulations.

4. Merchant Obligations

4.1 The Merchant shall ensure all product listings are accurate, lawful, and not misleading.

4.2 The Merchant agrees to fulfill orders in good faith, within reasonable timelines, and in accordance with accepted commercial standards.

4.3 The Merchant is solely responsible for product quality, authenticity, warranties, and after-sales obligations.

4.4 The Merchant shall not list prohibited, illegal, counterfeit, or restricted goods or services.

5. Fees and Commission Structure

5.1 The Platform does not impose a mandatory commission deduction on Merchant sales unless expressly agreed otherwise.

5.2 Merchants are entitled to receive payment for completed transactions, subject to applicable deductions under optional promotional programs.

5.3 The Platform reserves the right to introduce or amend fee structures upon reasonable notice.

6. Featured Shop Program

6.1 Merchants may voluntarily enroll in a Featured Shop program for promotional placement.

6.2 Enrollment constitutes authorization for the Platform to deduct agreed promotional fees from sales or charge separately.

6.3 The Platform provides no guarantee regarding visibility, traffic, or sales outcomes.

7. Merchant Promotions and Discounts

7.1 Merchants may elect to provide promotional pricing, with or without minimum purchase requirements.

7.2 The Merchant assumes full financial responsibility for all discounts offered.

7.3 The Platform shall not be liable for losses arising from Merchant-configured promotional settings.

8. Payments and Settlement

8.1 Payment processing shall follow Platform procedures and timelines.

8.2 The Merchant must maintain accurate payout information.

8.3 The Platform may withhold payments in cases involving disputes, fraud investigations, or violations of these Terms.

9. Prohibited Conduct

9.1 The Merchant shall not engage in fraudulent, deceptive, abusive, or unlawful conduct.

9.2 The Platform reserves sole discretion to investigate and take corrective action.

10. Suspension and Termination

10.1 The Platform may suspend or terminate Merchant access for breach of these Terms or applicable law.

10.2 Termination does not relieve the Merchant of outstanding obligations.

11. Limitation of Liability

11.1 The Platform acts solely as a facilitator and does not assume liability for Merchant products or services.

11.2 To the fullest extent permitted by law, the Platform disclaims liability arising from Merchant activities.

12. Indemnification

The Merchant agrees to indemnify and hold harmless the Platform from claims, damages, liabilities, or expenses arising from Merchant conduct, products, or legal violations.

13. Amendments

The Platform reserves the right to modify these Terms at any time. Continued use constitutes acceptance of revisions.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of Malaysian courts.

15. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force.

16. Entire Agreement

These Terms constitute the entire agreement between the Merchant and the Platform regarding Merchant participation.
